SLED Dealer Agreement AMENDMENT
Response REQUIRED by APRIL 30, 2023
We would like to share with you that the TD SYNNEX Public Sector team has implemented a change in process with respect to our SLED participating dealer program. This decision was made in order (i) to eliminate our customers’ burden related to reporting contract sales and the payment of contract transaction fees, and (ii) to improve our operational processes. Normally a process change such as this would require that we amend all existing SLED Participating Dealer Agreements that we have in place with our customers. However, many of our customers have multiple agreements in place with TD SYNNEX and the task of amending each agreement would be overwhelming. In an effort to reduce the level of effort required of both parties, we will be providing customers with a Letter Agreement that amends all existing SLED Participating Dealer Agreements your company has in place with us. The Letter Agreement will take the place of amending each existing agreement individually and should significantly reduce the impact upon our respective contracts and legal teams. The following is a summary of the contract vehicles impacted by this announcement:
- Equalis
- NCPA
- Ohio State Term Contract
- OMNIA Partners
- Texas DIR (Software, Data Communication and Networking, Cybersecurity Products and Services, Telecom and Conferencing, Miscellaneous IT)

DETAILS OF PROCESS CHANGE
- Effective May 1, 2023 and for each contract transaction consummated thereafter, TD SYNNEX will include the relevant SLED contract transaction fees due to TD SYNNEX in our quote for your bill of materials. The contract fee will be included in your cost on each line item on the contract and, as a result, you will not need to pay the fees separately to TD SYNNEX for those contract fees. We currently follow this process for customers transacting GSA dealer business through the legacy SYNNEX GSA contracts and the same process is being incorporated into our SLED Participating Dealer Agreements.
- On or after June 1, 2023, your contracts team will no longer be required to file monthly contracts sales reports nor will you be expected to pay contract transactions fees post-sale. Since the fees will be included as part of your quote, they will be collected when your company pays our invoice for the products and services purchased from TD SYNNEX. You will no longer be invoiced separately for contract administration fees.
- Resellers/Subcontractors are required to submit a signed amendment to us on or before April 30, 2023.
NEXT STEPS
Please open the SLED Dealer Agreement Amendment, TD SYNNEX PS Letter Agreement. Fill in all fields, sign, date, and save the document to attach to your YES response. You will be required to submit the signed document with your response if you choose to opt in and sign the amendment.
Once you have downloaded the document, click on the link below to be taken to a TD SYNNEX contracts team portal where you will be asked to indicate whether you choose accept the Addendum to the Agreements or whether you would prefer to opt out of the program. You will have to attach the signed letter from above.
Note: Customers that fail to respond by the April 30, 2023, deadline will be deemed to have elected to terminate their SLED Dealer Agreements.

- Does this change affect any participating dealer agreements that we have in place with our other public sector companies, DLT Solutions or Tech Data Government Solutions? Reply – No. This change only applies to existing SLED Participating Dealer Agreements your company has in place with TD SYNNEX Corporation (formerly SYNNEX Corporation.). It does not impact any dealer agreements that you have in place with DLT Solutions or Tech Data Government Solutions.
- Will my existing GSA Participating Dealer Agreement(s) also be amended? Reply – No. This change only applies to your SLED Participating Dealer Agreements with TD SYNNEX.
- What is the effective date of this change? Reply – This change applies to any SLED contract transaction run through a TD SYNNEX Participating Dealer Agreement on or after May 1, 2023.
- Will I be expected to file sales reports in May 2023? Reply – Yes, you will be expected to file a sales reports by May 5 for transactions that took place during April 2023. You will not have to file monthly contract sales reports beginning June 1, 2023 (meaning for any contract transactions that occurred on or after May 1, 2023).
- What will customers have to provide in lieu of monthly contract sales reports? Reply –We require that a copy of the end user’s purchase order be submitted with your purchase order to TD SYNNEX.
- I have questions regarding this announcement. To whom should I reach out? Reply – Please reach out to your TD SYNNEX Contracts Specialist aka your Public Sector BD. You can find your assigned contract specialist at the link below looking at the state where your company headquarters is located.
- Which member of my organization should sign the Letter Agreement on behalf of my company? Reply – An individual who has signatory authority for your company should sign the Letter Agreement.
- What is the date by which my team has to get back to TD SYNNEX indicating whether we intend to sign the Letter Agreement? Reply – We ask for a reply through the portal referenced below on or before April 30, 2023.
- What will take place if we elect to stay in the program? Reply –Upon submitting an affirmative reply in the portal, you will receive a Letter Agreement from TD SYNNEX that incorporates the changes detailed above into your existing SLED Participating Dealer Agreements with TD SYNNEX.
- Once received, what is the deadline for us to send back the signed Letter Agreement? Reply – within a week of your online submission if you have chosen to sign the addendum.
- What happens if I do not choose to sign the Addendum or if I don’t return it by the due date? Reply – You will receive a termination letter stating that your Dealer agreements are no longer valid.
- What happens if I miss the deadline of April 30, 2023? Reply – Don’t worry, you can choose to sign up for the programs again. The new agreements will include this new process.
